Overview: A life insurance policy is a form of personal property with well-defined ownership rights. This section addresses who can do what with a policy, and how ownership can be transferred — in whole or in part.

Owner's Rights

The policy owner — who may or may not be the insured — holds all the property rights in the contract. These rights include:

Naming and changing beneficiaries (subject to any irrevocable designations)
Taking out a policy loan against cash value
Choosing dividend options
Surrendering the policy for its cash value
Selecting nonforfeiture options
Assigning the policy to another party

Insurable interest must exist between the owner and the insured at the time the policy is issued. It need not persist afterward. A wife who buys a policy on her husband retains ownership rights and can collect the death benefit even after a divorce, as long as she maintains premium payments — because insurable interest existed when the contract was formed.

Policy Assignment

Assignment is the legal transfer of some or all ownership rights in a policy from the current owner (the assignor) to another person or entity (the assignee). The assignment must be written and submitted to the insurer to be binding on the company.

Two types of assignment are used in practice:

Absolute assignment is a complete, permanent, and irrevocable transfer of all policy rights to the assignee. The original owner surrenders all control. The assignee becomes the new owner, with full rights to name beneficiaries, surrender the policy, or take policy loans. Absolute assignment is used in estate planning (transferring a policy to an Irrevocable Life Insurance Trust to remove the death benefit from the taxable estate), gifting a policy to an adult child, or selling a policy in a life settlement transaction.

Conditional assignment — also called a collateral assignment — transfers limited, temporary rights to a lender as security for a debt. The original owner retains general ownership but cannot take certain actions (like surrendering the policy) without the lender's consent. When the debt is repaid, the assignment terminates automatically and all rights revert to the original owner.

Worked Example — Collateral Assignment:

A business owner takes a $200,000 SBA loan and pledges a $500,000 whole life policy as collateral via collateral assignment.

During the loan: The lender (assignee) has a first claim on the death benefit, limited to the outstanding loan balance.
If the insured dies when $200,000 is still owed: The insurer pays the lender $200,000 first; the remaining $300,000 goes to the named beneficiary.
If the insured dies when only $80,000 is still owed: The lender receives $80,000; the beneficiary receives $420,000.
If the loan is repaid while the insured lives: The lender signs a release of collateral assignment; the insurer removes the assignment from the record; the full $500,000 reverts to the beneficiary at death.

This structure protects both the lender (guaranteed repayment) and the family (they receive the balance rather than the lender receiving the entire face amount).
